Fern Capital Partners is a long-term investor with an active ownership perspective. We focus on enduring and sustainable business models, and we believe that factors such as environmental harm, poor treatment of employees, and weak governance can increase the risk of permanent capital loss.

Sustainability risks are therefore considered as part of our overall risk assessment, with particular emphasis on governance and the quality of leadership — including remuneration structures and incentive alignment. Environmental and social factors are taken into account where relevant to the specific investment case.

At present, Fern Capital Partners does not consider principal adverse impacts (“PAI”) on sustainability factors in accordance with Article 4 of Regulation (EU) 2019/2088, as the firm is a small-scale manager and has not yet established the necessary data foundation and methodological framework to ensure a reliable assessment.

This approach is reviewed annually by the management team and may be revised in the future should data availability and methodological tools evolve to support a meaningful, fact-based PAI analysis.

Fern Capital Partners has not adopted a formal remuneration policy. Compensation of partners and employees is not linked to the integration of sustainability risks and occurs independently of ESG-related performance.
